Wholesale Application

This Wholesale Agreement (the "Agreement") is entered into by and between Explody World LLC, a California limited liability company with its principal place of business at 880 Rochester Ave. Suite B Ontario, CA 91764 ("Supplier"), and the undersigned applicant ("Buyer"). By signing below, Buyer agrees to the following terms for the purchase and resale of Supplier's products, including but not limited to This Book Might Explode! and related merchandise (the "Products").

1. Eligibility and Approval: Approval as a wholesale Buyer is at Supplier's sole discretion. Buyer represents that it is a legitimate business authorized to resell Products, with valid resale certificates and tax IDs provided. Supplier reserves the right to revoke approval at any time for non-compliance.

2. Orders and Pricing: All orders must meet minimum quantities. Pricing is as listed in Supplier's current wholesale catalog and subject to change with 30 days' notice. Buyer agrees to pay all applicable taxes, shipping, and handling fees.

3. Payment Terms: Net 30 days from invoice date for orders of 50 units or more. Late payments incur 1.5% monthly interest. Supplier may require prepayment or credit approval for new or high-volume Buyers. Unpaid balances may result in account suspension.

4. Resale and Distribution: Products may only be resold through Buyer's approved channels (e.g., physical stores or authorized online platforms; no unauthorized marketplaces like Amazon without prior written consent). Buyer agrees not to sell below Supplier's suggested retail price, alter Products, or use Supplier's branding in unauthorized promotions. Violation may lead to termination and product repurchase at wholesale cost.

5. Intellectual Property: Buyer acknowledges Supplier's ownership of all trademarks, copyrights (including those related to This Book Might Explode!), and proprietary materials. Buyer shall not reproduce, modify, or distribute Products beyond resale limits without express written permission.

6. Warranties and Returns: Products are sold "as is" with no warranties beyond those expressly provided by Supplier. Returns are accepted within 14 days for defective items only, subject to inspection and a 20% restocking fee. No returns on custom or opened Products.

7. Confidentiality: Buyer agrees to keep wholesale pricing, terms, and business strategies confidential and not disclose to third parties.

8. Termination: Either party may terminate with 30 days' written notice. Upon termination, Buyer must settle all outstanding payments and return or destroy confidential materials. Supplier may terminate immediately for breach.

9. Governing Law: This Agreement is governed by the laws of California, without regard to conflict of laws principles. Disputes shall be resolved through binding arbitration in Ontario, Calofornia.

10. Entire Agreement: This constitutes the full agreement between the parties, superseding prior understandings. Amendments must be in writing and signed by both parties.

Buyer affirms it has read, understood, and agrees to these terms. Electronic signatures are binding.
